About FOMO and Our Role

1.1 Platform Overview

FOMO Entertainment Private Limited (‘FOMO’, ‘we’, ‘us’, ‘our’) operates the FOMO mobile application and website (collectively, the ‘Platform’). The Platform serves two distinct and legally separate functions, described in Sections 1.2 and 1.3 below. Different legal frameworks apply to each function. Users must read both sections to understand how FOMO operates in relation to their specific use of the Platform.

FOMO operates an electronic platform and complies with the applicable disclosure, transparency, and grievance redressal requirements under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. The disclosures required under those Rules - including our legal name, registered address, corporate identity number, GSTIN, and Grievance Officer details - are set out in these Terms and displayed on the Platform.

1.2 Role A: P2P Discovery Platform (Peer-to-Peer Resale Listings)

With respect to user-generated ticket listings on the Platform, FOMO acts solely as an independent intermediary and technology provider under Section 2(1)(w) and Section 79 of the Information Technology Act, 2000 (‘IT Act’). FOMO does not organize events, issue original tickets, own tickets listed by individual users, or participate in any transaction between a buyer and a seller.

The contract for the resale of a ticket in the P2P discovery flow is strictly between the buyer and the seller. FOMO is not a party to that contract. FOMO does not verify the seller’s legal ownership, continuing possession, transfer rights, or authority to resell the ticket beyond the limited Fomo Verified check described in Section 1.4. To the maximum extent permitted under applicable law, FOMO is not responsible for the validity, delivery, transferability, authenticity, continued availability, or venue acceptance of tickets listed by individual users in the P2P discovery flow, except where liability arises directly from FOMO’s own fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

FOMO does not initiate the transmission of P2P resale listings, does not determine the buyer or recipient of any P2P transaction, and does not create or materially modify the substantive content of user-generated P2P resale listings. FOMO may review, verify, format, moderate, rank, remove, or restrict listings for trust, safety, legal compliance, fraud prevention, user experience, or policy enforcement purposes, without thereby becoming a party to any P2P transaction. FOMO claims the safe harbour from third-party liability under Section 79 of the IT Act for the P2P discovery flow, subject to compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (‘Intermediary Guidelines’).

All payments for P2P resale tickets are made directly and solely between the buyer and the seller, outside the Platform. FOMO does not process, hold, or intermediate any payments in the P2P discovery flow.

Upon receiving actual knowledge through a valid complaint, legal notice, court order, government direction, or credible internal fraud signal that a P2P resale listing is unlawful, fraudulent, misleading, infringing, or in breach of these Terms, FOMO may remove or disable access to such listing and take appropriate account-level action in accordance with applicable law and these Terms.

1.3 Role B: FOMO Ticket Flow (FOMO-Listed Tickets)

Certain ticket booking opportunities on the Platform are offered under the “FOMO Tickets” flow. FOMO Tickets are distinct from user-generated P2P resale listings.

For FOMO Ticket transactions, FOMO acts as a customer-facing booking facilitation, payment collection, and fulfilment coordination platform. FOMO may act as a commission agent of its ticket procurement partner, promoter, authorised supplier, primary ticketing platform, or fulfilment partner for the limited purpose of facilitating ticket booking, collecting customer payments, coordinating ticket issuance, and providing related customer support.

The underlying ticket, receipt, or booking confirmation is issued, supplied, or fulfilled by the relevant ticket procurement partner, promoter, authorised supplier, primary ticketing platform, or fulfilment partner. FOMO does not purchase, own, hold, or resell the underlying ticket.

In the FOMO Ticket flow, FOMO collects payment from the customer through its payment processor, remits or settles the underlying ticket value to the relevant partner, and retains or receives its commission, convenience fee, service fee, or booking facilitation fee in accordance with its internal commercial arrangement with such partner. FOMO is responsible for coordinating issuance or delivery of the ticket, receipt, or booking confirmation to the customer and for handling customer support, refund coordination, and dispute processing expressly described in Sections 6 and 7 of these Terms.

FOMO Ticket transactions are not P2P resale listings. The IT Act Section 79 intermediary safe harbour does not apply to FOMO Ticket transactions. The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 apply to FOMO Ticket transactions to the extent applicable. Back-end commercial, procurement, settlement, and fulfilment arrangements are internal to FOMO, except where disclosure is required by applicable law, payment processing requirements, event-specific fulfilment requirements, or these Terms. Customers are not required to separately contract, communicate, or coordinate with any ticket procurement partner for ordinary fulfilment, unless expressly disclosed on the relevant FOMO Ticket listing for operational reasons such as physical ticket, wristband, or box-office collection.

1.4 What ‘Fomo Verified’ Means (P2P Resale Listings Only)

A ‘Fomo Verified’ badge means that at the time of listing verification, the seller demonstrated access to the original ticket confirmation email sent by the primary ticketing platform (such as BookMyShow, District by Zomato, Skill Box, Sort my Scene, or the event organizer directly). FOMO reviewed this confirmation email to confirm that a valid booking appeared to exist at that time and that the ticket details matched the listing. Fomo Verified is a point-in-time verification conducted at the moment of listing. It is not re-verified on subsequent buyer contacts. It does not constitute:

  • a guarantee of entry at the venue;
  • a warranty that the ticket will not be cancelled or voided by the original issuer after verification;
  • a guarantee that the ticket is transferable under the original issuer’s terms;
  • a confirmation that the seller still holds the ticket at the time of any buyer’s inquiry; or
  • an endorsement of the seller’s conduct after listing.

Fomo Verified is a trust signal and fraud-reduction measure - not an insurance product and not a guarantee of the transaction outcome. Buyers must still exercise their own due diligence before transferring any payment to a seller. This badge applies exclusively to P2P resale listings. FOMO Tickets (Section 6) carry FOMO’s own delivery guarantee, not this badge.

Eligibility

  • You must be at least 18 years of age to create an account or use any feature of the Platform.
  • You must be legally capable of entering into binding contracts under the Indian Contract Act, 1872.
  • If you are accessing the Platform on behalf of a business or organization, you represent that you have full authority to bind that entity to these Terms.
  • FOMO reserves the right to refuse registration or access to any person or entity at its sole discretion.

Account Registration & Security

3.1 Account CreationTo list tickets, contact sellers, purchase FOMO Tickets, or use other account-based features of the Platform, you must create an account by providing accurate, complete, and current information, including your name, mobile number, email address, city, and any other information reasonably required by FOMO from time to time. For FOMO Ticket transactions, you must provide accurate identity, contact, and ticket issuance details, including your legal name where required by the relevant event or ticketing process. Failure to provide accurate information may result in failed ticket issuance, denied venue entry, order cancellation, account restriction, or refusal of future transactions, subject to Section 6.
3.2 Account SecurityYou are responsible for maintaining the confidentiality and security of your account credentials, OTPs, login links, authentication codes, devices, and account access. You must not share your password, OTP, login link, authentication code, or account access with any third party. FOMO will never ask you to share your password, OTP, payment authentication credentials, or banking passwords over chat, phone, or email. You must notify FOMO immediately at support@fomo-live.com if you become aware of any unauthorized use of your account, suspected account compromise, fraudulent activity, or security breach.
3.3 Account Deletion by YouYou may request deletion of your account at any time via the app’s account settings or by contacting FOMO at support@fomo-live.com. Account deletion does not automatically delete records that FOMO is required or permitted to retain under applicable law, including transaction records, invoices, dispute records, fraud-prevention logs, security logs, support communications, or records required for GST, accounting, audit, legal, or regulatory purposes. If you have an active order, open dispute, pending refund, unresolved payment issue, ongoing fraud or safety investigation, active P2P complaint, or legal/tax retention requirement, FOMO may retain limited account and transaction information for as long as reasonably necessary. FOMO’s handling of personal data is further described in the Privacy Policy.
3.4 Suspension or Termination by FOMOFOMO may suspend, restrict, or permanently terminate your account, with or without prior notice, where reasonably necessary for fraud prevention, user safety, legal compliance, payment risk, dispute management, investigation of suspected misconduct, or protection of the Platform. Grounds include violating these Terms; providing false or misleading account, identity, payment, or ticket information; submitting fabricated verification or dispute evidence; initiating a chargeback in breach of Section 6.9; operating multiple accounts to circumvent restrictions; listing tickets you do not lawfully own or that are already sold or cancelled; scalping, fraud, harassment, or abuse; or manipulating ratings, payments, refunds, or Platform security systems. Where a suspended or terminated account has outstanding FOMO Ticket transactions, FOMO will honour its delivery or refund obligations under Section 6 in respect of those transactions only. Suspension or termination does not affect any rights or obligations that arose before the date of suspension or termination.

P2P Resale Listings: Seller Obligations

This section applies exclusively to individual users who list tickets for sale on the Platform through the P2P discovery flow. It does not apply to FOMO Ticket listings, which are managed directly by FOMO.

4.1 Accuracy & Honesty

By listing a ticket on the Platform, you represent and warrant that:

  • You are the lawful owner of the ticket or are expressly authorized by the lawful owner to sell it.
  • All information in the listing, including ticket category, seat number or zone, face value, event date, venue, and intended delivery method, is accurate, complete, and not misleading at the time of listing.
  • The ticket is genuine, unused, and valid for the event as stated.
  • The ticket has not been simultaneously listed on any other platform (double-listing is prohibited).
  • The ticket is not subject to any dispute, chargeback, cancellation, or pending refund with the original issuer.
  • You are solely responsible for checking whether the ticket may be transferred or resold under the terms of the original ticket issuer, event organiser, venue, or primary ticketing platform, and you must not list any ticket where resale or transfer is expressly prohibited or would render the ticket invalid.
  • The ticket has not already been sold, transferred, or otherwise disposed of prior to this listing.
4.2 Compliance with Original Ticket TermsSellers are solely responsible for ensuring their resale complies with the terms and conditions of the original ticket issuer (e.g., BookMyShow, District by Zomato, or the event organizer). Violations of original ticket terms - including reselling tickets that the issuer has designated as non-transferable - may result in the ticket being cancelled by the organizer. FOMO bears no liability for such cancellations.
4.3 Verification SubmissionSellers must submit the original ticket confirmation email received from the primary ticketing platform to enable FOMO’s pre-listing verification. The confirmation email must be unaltered and must clearly show the booking reference, event details, seat or category information, and the registered buyer email. Submission of false, edited, or manipulated verification materials constitutes a serious breach of these Terms and may attract legal action under applicable Indian law, including the Information Technology Act, 2000, and the Bharatiya Nyaya Sanhita, 2023. Fomo Verified status is granted at the time of listing and is not re-verified on subsequent buyer contacts.
4.4 Pricing & Anti-Scalping PolicyFOMO is an anti-scalping platform. FOMO does not endorse, facilitate, or profit from the artificial inflation of ticket prices. In compliance with the Consumer Protection Act, 2019, FOMO reserves the right to remove any listing that violates this policy without prior notice and without incurring any liability to the Seller. Repeated violations may result in permanent account suspension. Sellers in Maharashtra should additionally be aware of the Maharashtra Entertainments Duty Act, 1923, which restricts resale of certain tickets above face value within that state. FOMO reserves the right nationally to flag or remove listings that appear exploitative or in breach of applicable law.
4.5 Seller Tax ObligationsSellers are solely responsible for determining, reporting, collecting, and remitting any applicable taxes, including Goods and Services Tax (GST) and income tax under the Income Tax Act, 1961, arising from the sale of tickets through the Platform. FOMO is not responsible for the tax liabilities of individual sellers in the P2P flow and does not collect or remit taxes on their behalf. FOMO may be required to share user transaction data with tax authorities if legally mandated to do so by a competent authority.
4.6 Delisting Sold or Transferred TicketsOnce a ticket has been sold, transferred, or otherwise disposed of off platform, the seller must immediately remove or mark the listing as sold on the Platform. Failure to delist promptly, resulting in a buyer attempting to purchase or contact the seller regarding an already-sold ticket, may result in account suspension. FOMO reserves the right to remove stale or suspected-sold listings at its discretion.
5

P2P Resale Listings: Buyer Obligations & Risks

This section applies exclusively to buyers interacting with user-generated P2P resale listings. It does not apply to FOMO Ticket purchases, which are governed by Section 6.

5.1 Buyer Responsibility

By contacting or agreeing to purchase a ticket via the P2P discovery flow, you acknowledge that:

  • You are entering into a direct contract with the seller, not with FOMO.
  • A Fomo Verified badge confirms the seller had access to the original booking confirmation email at the time of listing; it does not guarantee the ticket will remain valid, available, transferable, or honoured at the venue.
  • You remain fully responsible for your own due diligence before transferring any payment to a seller.
  • You should review listing details carefully and use in-app chat to ask questions before committing to any payment.
  • FOMO is not a party to your transaction and cannot compel the seller to perform, refund you, or provide any remedy.
5.2 PaymentPayment for P2P resale tickets is made directly between buyer and seller, entirely outside the FOMO Platform (via UPI, bank transfer, or other methods agreed between the parties). FOMO does not process, hold, or intermediate any payment in the P2P discovery flow. FOMO is not responsible for payment disputes, failed transfers, non-reversible payments, or fraud occurring outside the Platform. Buyers are strongly advised not to transfer any payment before receiving and independently verifying the ticket, or before confirming the validity of the transfer method with the seller via in-app chat.
5.3 Non-Transferable & ID-Restricted TicketsSome event organisers issue tickets that are non-transferable or require the original buyer’s government-issued photo ID at venue entry. Buyers are advised to verify transfer eligibility with the seller before any payment. FOMO is not liable for denied entry resulting from ID-linked or non-transferable ticket restrictions in P2P transactions. FOMO is not a party to the transaction and cannot facilitate ID coordination between buyers and sellers. Any sharing of identity documents between a buyer and seller is at the mutual discretion of those parties and carries risks that FOMO cannot mitigate or accept liability for.

FOMO Tickets

What a FOMO Ticket Is

FOMO Tickets are ticket booking opportunities offered through FOMO’s Platform, where FOMO facilitates booking, payment collection, fulfilment coordination, and customer support for tickets issued, supplied, or fulfilled through FOMO’s ticket procurement partners, promoters, authorised suppliers, primary ticketing platforms, or fulfilment partners. They are fundamentally different from P2P resale listings where individual users list their own tickets. When you buy a FOMO Ticket:

  • You book through FOMO’s Platform, not through an individual seller.
  • FOMO collects your full payment at checkout through its payment processor.
  • The underlying ticket, receipt, or booking confirmation is issued, supplied, or fulfilled through FOMO’s partner.
  • FOMO is responsible for coordinating ticket issuance or delivery and handling customer support, refund coordination, and disputes as described in these Terms.
  • FOMO may earn a commission, convenience fee, service fee, or booking facilitation fee from its partner and may raise a GST Tax Invoice to such partner for that amount.
  • If something goes wrong, you raise a dispute with FOMO directly under Section 6.9.
6.1 FOMO’s Role in FOMO Ticket TransactionsFor FOMO Ticket transactions, FOMO acts as a customer-facing booking facilitation, payment collection, and fulfilment coordination platform, and may act as a commission agent of its partner for the limited purpose of facilitating booking, collecting payments, coordinating issuance, and providing support. The underlying ticket, receipt, or booking confirmation is issued by the relevant partner; FOMO does not purchase, own, hold, or resell it. The IT Act Section 79 intermediary safe harbour does not apply to FOMO Ticket transactions. The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 apply to the extent applicable.
6.2 Payment: Collection Structure & GSTFOMO collects a single, all-inclusive amount from the customer at checkout via Razorpay or such other payment processors as FOMO operates from time to time. This amount may include the underlying ticket value and any charges, fees, or taxes, and may not be itemised into separate components at the point of payment. Of the amount collected, the underlying ticket value is payable to FOMO’s partner, and the balance, if any, is retained by FOMO as its commission, convenience fee, service fee, or booking facilitation fee. FOMO’s fee constitutes FOMO’s own taxable supply to such partner, on which FOMO charges and discharges GST at the applicable rate, and FOMO may raise a GST Tax Invoice to the relevant partner for such amount. FOMO does not raise a GST Tax Invoice to the customer for the underlying ticket value or for FOMO’s fee where the service recipient for GST purposes is the relevant partner. FOMO’s GSTIN is set out in Section 19.
6.3 Customer Name & ID ObligationThe customer is solely responsible for providing their exact legal name, as it appears on their government-issued photo ID, at the time of FOMO Ticket checkout. FOMO will pass this name to its ticket procurement partner for the purpose of ticket issuance. FOMO is not liable for denied venue entry arising from any discrepancy between the name provided at checkout and the customer’s government-issued photo ID.
6.4 FOMO’s Delivery ObligationFOMO’s obligation is to ensure that a valid ticket, receipt, or booking confirmation is issued to the customer by FOMO’s ticket procurement partner before the event’s official start time. Delivery is deemed complete upon issuance of the ticket, receipt, or booking confirmation to the customer. For events where physical wristbands or paper tickets are the delivery format, delivery timelines and methods will be disclosed on the specific FOMO Ticket listing.
6.5 All Sales Final: No CancellationAll FOMO Ticket purchases are final once payment is successfully processed. Customers may not cancel, return, or exchange a FOMO Ticket for any reason, including change of plans, personal illness, inability to attend, dissatisfaction with the lineup, travel disruption, late arrival, weather, or financial change of circumstance. A customer is entitled to a refund from FOMO only where: the event is officially cancelled by the primary organizer and not rescheduled (Section 7.1); FOMO fails to ensure a valid ticket, receipt, or booking confirmation is issued before the event’s official start time; or the ticket is proven invalid at the venue entry gate and the customer complies fully with the dispute evidence requirements in Section 6.9. This All-Sales Final policy will also be displayed prominently at checkout as a pre-payment disclosure.

6.6 Refund Schedule

If the underlying ticket value has already been remitted or settled to a promoter, ticket procurement partner, authorised supplier, primary ticketing platform, payment processor, or fulfilment partner, refund timing for that component will depend on FOMO receiving, recovering, or reversing such amount. 6.7 Payment Settlement and Refund Dependency DisclosureFor FOMO Ticket transactions, FOMO may collect the total amount payable by the customer at checkout through its payment processor. After successful payment, FOMO retains only its commission, convenience fee, service fee, booking facilitation fee, and applicable GST. The remaining amount, representing the underlying ticket value, is remitted or settled to FOMO’s partner. FOMO does not hold the entire ticket value until completion of the event. Accordingly, where a customer is eligible for a refund of the underlying ticket value, such refund may depend on FOMO receiving, recovering, or being able to reverse the corresponding underlying ticket value from the relevant partner. FOMO will use commercially reasonable efforts to coordinate such recovery, keep the customer reasonably informed of material delays, and will not unreasonably delay refund processing once the applicable underlying ticket value has been received, recovered, or reversed.
6.8 Liability for FOMO Ticket TransactionsFor FOMO Ticket transactions, FOMO’s total aggregate liability to a customer shall not exceed the total amount paid by that customer for the specific transaction in dispute, inclusive of Convenience Fee and applicable GST. FOMO shall not be liable for indirect, incidental, consequential, or punitive losses arising from a failed or invalid FOMO Ticket, including travel expenses, accommodation costs, transportation costs, lost leave, emotional distress, or loss of enjoyment. FOMO’s liability is subject to the customer having complied with all dispute evidence and deadline requirements in Section 6.9.

6.9 FOMO Ticket Dispute Mechanism

6.9.1 Dispute WindowAll disputes relating to FOMO Ticket transactions, including claims of invalid tickets, failed ticket issuance, or denied entry, must be submitted to FOMO at support@fomo-live.com within 24 hours of the official start time of the relevant event. Disputes submitted after this 24-hour window will not be processed and will be treated as waived.
6.9.2 Evidence RequirementsTo raise a valid dispute on grounds of invalid ticket, failed QR scan, or denied entry, the customer must provide all three of the following within the 24-hour window: (1) a continuous, unedited, timestamped video or clear photograph taken at the venue entry gates, showing the ticket scan being rejected and the FOMO Order ID clearly visible; (2) geo-located evidence confirming the customer’s physical presence at the venue at the time of the claimed denial; and (3) the FOMO Order ID and the name of the event as it appears on the booking confirmation. Disputes submitted without all three items will not be processed. FOMO’s determination on evidence sufficiency is final and non-appealable and is based solely on the evidence provided.
6.9.3 Investigation ProcessUpon receiving a valid dispute submission with complete evidence, FOMO will acknowledge receipt within 12 hours, investigate the claim against available booking and delivery records, and provide a determination within 5 business days of receipt of the complete submission. If the dispute is upheld, FOMO will process a refund of the Total Amount Paid, comprising the underlying ticket value and FOMO’s Convenience Fee. Where the underlying ticket value has already been settled to a partner, refund timing for that component will depend on FOMO receiving, recovering, or reversing such amount, and FOMO will process the refund within 7 business days thereafter. Refunds will be processed to the original payment method, unless otherwise required by the payment processor or applicable law.
6.9.4 Chargeback ProhibitionCustomers agree not to initiate a chargeback, payment dispute, payment reversal, or bank-level transaction challenge with respect to any FOMO Ticket purchase without first submitting a dispute through the mechanism in this Section 6.9 and receiving FOMO’s written determination. Initiating a chargeback without exhausting this dispute process constitutes a material breach of these Terms. In such cases, FOMO reserves the right to contest the chargeback with full transaction, delivery, and booking evidence; suspend or permanently terminate the customer’s account; and pursue recovery of the chargeback amount, associated processing fees, and reasonable legal costs. FOMO will not initiate legal proceedings against a customer solely based on a disputed amount below INR 1,000 but reserves all rights to do so above that threshold.

Event Cancellations, Postponements & Force Majeure

7.1 Official Event Cancellation

If an event is officially cancelled by the primary organizer (including BookMyShow, District by Zomato, the venue authority, or the event promoter) and is not rescheduled:

FOMO Ticket transactionsThe transaction is entirely voided. FOMO will coordinate with the relevant partner to receive, recover, or reverse the underlying ticket value, and will process a refund of the Total Amount Paid, comprising the underlying ticket value and FOMO’s Convenience Fee, within 7 business days after the corresponding underlying ticket value has been received, recovered, or reversed. The customer is not required to raise a dispute under Section 6.9 for event cancellations.
P2P Resale ListingsFOMO is not a party to the underlying transaction between buyer and seller and has no obligation to issue refunds to buyers or sellers of P2P resale listings. Buyers and sellers must resolve the consequences of a cancellation directly between themselves. FOMO may, at its sole discretion, remove event listings upon confirmed cancellation.

7.2 Event Postponement, Rescheduling, or Venue Change

If an event is postponed, rescheduled, or the venue changes, but the event is not cancelled:

FOMO Ticket transactionsThe FOMO Ticket transaction remains valid and in effect for the rescheduled date and venue. The customer is not entitled to a refund solely because of a change in date, time, or venue. If the primary organizer issues a blanket cash refund policy to all original ticket holders, FOMO will coordinate with the relevant partner and process a full refund of the Total Amount Paid within 7 business days after the corresponding underlying ticket value has been received, recovered, or reversed.
P2P Resale ListingsFOMO is not a party to the transaction. Whether a postponement entitles the buyer to any remedy from the seller is a matter between the buyer and seller, to be resolved directly between them.
7.3 Force MajeureNeither FOMO nor its ticket procurement partners shall be in breach of these Terms or liable for any delay or failure to perform obligations (other than payment obligations already due to customers) to the extent caused by a Force Majeure Event. ‘Force Majeure Event’ means any event beyond the reasonable control of the affected party, including acts of God; natural disasters; pandemic or epidemic declared by a competent authority; government orders or restrictions; civil unrest; national emergency; failure of telecommunications or internet infrastructure; or a material technical failure on the part of FOMO’s ticket procurement partner that prevents ticket issuance. A Force Majeure Event suspends FOMO’s delivery timeline obligations but does not relieve FOMO of its obligation to issue refunds where the underlying event is officially cancelled.

In-App Chat: Usage Rules

FOMO provides an in-app messaging system for buyers and sellers to communicate in connection with P2P resale listings. The in-app chat is not a customer support channel for FOMO Ticket purchases - queries and disputes relating to FOMO Tickets must be directed to support@fomo-live.com. By using the in-app chat system, you agree:

  • Not to use the chat to harass, threaten, intimidate, abuse, or defame other users.
  • Not to use the chat to distribute spam, unsolicited promotions, malware, or phishing content.
  • Not to share fake, misleading, edited, or fraudulent ticket information in chat.
  • Not to request or share sensitive personal information, including government IDs, financial account details, passwords, or OTPs, via chat. If identity coordination is needed for an ID-linked ticket, any such sharing is at the mutual discretion of the parties and at their own risk.
  • To accept that FOMO stores chat messages on secure servers and may access them in cases of disputes, fraud investigations, or pursuant to valid legal orders, as described in our Privacy Policy.
  • To accept that violation of these chat rules may result in account suspension and, where the conduct is unlawful, referral to law enforcement authorities.

Prohibited Conduct

You must not use the Platform to:

  • List, sell, or distribute fake, duplicated, stolen, altered, or screenshot-only tickets that bypass FOMO’s email confirmation verification process.
  • Engage in coordinated or systematic scalping, including using multiple accounts to list or purchase tickets across multiple events with intent to resell at inflated prices.
  • Use automated bots, scripts, crawlers, or software to scrape, bulk-list, or manipulate the Platform.
  • Create multiple accounts to circumvent a suspension, restriction, or volume limit.
  • Impersonate another user, business, or public figure.
  • Engage in any form of fraud, deception, or misrepresentation, including misrepresenting ownership of a ticket, listing a ticket already sold to another party, or misrepresenting the condition, validity, or transferability of a ticket.
  • Provide false or inaccurate personal information, including your legal name, at FOMO Ticket checkout.
  • Initiate a fraudulent chargeback, payment reversal, or bank dispute on a FOMO Ticket transaction for which valid delivery was completed.
  • Abuse the FOMO Ticket dispute mechanism by submitting false, fabricated, edited, or misleading evidence, including fabricated geo-location data, edited video recordings, or screenshots from other events.
  • List tickets in knowing violation of the original issuer’s T&Cs where such violation voids the ticket, for example, reselling a ticket explicitly designated as non-transferable by BookMyShow or District by Zomato.
  • Violate any applicable Indian law or regulation, including the Consumer Protection Act, 2019, the Information Technology Act, 2000, and the Bharatiya Nyaya Sanhita, 2023.
  • Interfere with or disrupt the Platform’s infrastructure, servers, or networks.
  • Attempt to reverse-engineer, decompile, or extract the source code of the app.

Intellectual Property

10.1 FOMO’s IPThe FOMO name, logo, design, codebase, content, and all Platform features are the intellectual property of FOMO Entertainment Private Limited and are protected by applicable Indian and international intellectual property laws. You may not copy, reproduce, distribute, sublicense, or create derivative works from any FOMO IP without our prior written consent.
10.2 User ContentBy posting a listing, sending content, or submitting materials on the Platform, you grant FOMO a non-exclusive, royalty-free, worldwide license to host, store, process, reproduce, display, format, moderate, and distribute such content solely for the purpose of operating, securing, improving, and promoting the Platform. You retain ownership of your own content. You represent that you have all necessary rights to grant this license and that the content does not infringe any third party’s rights.
10.3 Third-Party ContentListings must not include copyrighted images, artist photographs, event artwork, or other materials belonging to event organisers or third parties without their express authorisation. FOMO will remove listings that infringe third-party intellectual property rights upon receiving a valid and complete takedown notice directed to support@fomo-live.com.

Warranties & Limitation of Liability

11.1 Platform Provided ‘As Is’The FOMO Platform is provided on an ‘as is’ and ‘as available’ basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11.2 Limitation of Liability: P2P Discovery ListingsWith respect to user-generated P2P resale listings, FOMO is not a party to any transaction between buyer and seller. To the maximum extent permitted by applicable Indian law, FOMO’s total aggregate liability to any user arising from or relating to a P2P resale listing shall not exceed INR 1,000 (One Thousand Rupees). FOMO is not liable for the accuracy of seller listings; seller performance; the quality, validity, or transferability of tickets listed by individual sellers; denied entry at events; event cancellations or rescheduling in respect of P2P tickets; or disputes arising between buyers and sellers in the P2P flow.
11.3 Limitation of Liability: FOMO Ticket TransactionsFor FOMO Ticket transactions, FOMO’s total aggregate liability to a customer - whether in contract, tort, or otherwise - shall not exceed the total amount paid by that customer for the specific FOMO Ticket transaction in dispute, inclusive of Convenience Fee and applicable GST. FOMO shall not be liable for any indirect, incidental, special, consequential, or punitive losses, including loss of profits; travel expenses; accommodation costs; transportation costs; lost annual or casual leave; emotional distress; loss of enjoyment; or any other indirect or consequential loss, even if FOMO has been advised of the possibility of such losses.
11.4 ExceptionsNothing in these Terms limits FOMO’s liability for: death or personal injury caused by FOMO’s negligence; fraud or fraudulent misrepresentation by FOMO; or any other liability that cannot be excluded or limited under applicable Indian law, including the Consumer Protection Act, 2019.

Indemnification

You agree to indemnify, defend, and hold harmless FOMO Entertainment Private Limited and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform in violation of these Terms.
  • Your listing, purchase, attempted listing, attempted purchase, or transfer of tickets on or through the Platform, including any misrepresentation as to ownership, validity, transferability, or your authority to sell.
  • Your submission of false, edited, or manipulated verification materials for a Fomo Verified listing.
  • Your submission of false, fabricated, or edited evidence in a FOMO Ticket dispute claim.
  • A chargeback or payment reversal initiated by you in breach of Section 6.9 of these Terms.
  • Claims against FOMO arising from your sale of a ticket that violates the original issuer’s terms - including selling a ticket designated as non-transferable where the buyer then seeks a remedy from FOMO.
  • Your violation of any third party’s rights, including intellectual property rights.
  • Any content you submit to the Platform that infringes applicable law or the rights of any third party.

Dispute Resolution: P2P Resale Listings

This section governs disputes between buyers and sellers in the P2P discovery flow. For FOMO Ticket disputes, see Section 6.9.

13.1 Between Buyers and SellersIn the first instance, buyers and sellers are expected to attempt to resolve disputes directly via the in-app chat. If direct resolution is not possible, either party may raise a formal complaint with FOMO’s support team at support@fomo-live.com, providing the listing details, relevant chat evidence, and a description of the dispute.
13.2 FOMO’s Role in P2P DisputesFOMO will review the complaint and the relevant evidence - including, where necessary, in-app chat logs - and may provide a recommendation to assist resolution. FOMO’s involvement in P2P disputes is advisory and facilitative. FOMO is not an arbitrator or adjudicator in the P2P context and cannot compel either party to perform or refund. FOMO bears no financial liability for the outcome of P2P transactions. Where fraud, misrepresentation, or a serious breach by a seller is evident, FOMO will take account-level action against the offending user (including suspension or permanent ban) and may refer the matter to law enforcement authorities.
13.3 Consumer ForumNothing in these Terms prevents you from filing a complaint with the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, or approaching any other competent authority under Indian law. FOMO will cooperate fully with any such authority.
14

Governing Law, Arbitration & Jurisdiction

14.1 Governing LawThese Terms are governed by and construed in accordance with the laws of India.
14.2 Negotiation FirstAny dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any transaction or interaction facilitated through the Platform (‘Dispute’) shall first be attempted to be resolved by good-faith negotiation between the parties for a period of thirty (30) days from the date one party notifies the other in writing of the Dispute.
14.3 Binding ArbitrationIf the Dispute is not resolved by negotiation within thirty (30) days, it shall be finally settled by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or if no agreement is reached within fifteen (15) days of a request for arbitration, appointed by the competent court. The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language of arbitration shall be English. The arbitrator’s award shall be final and binding on both parties.
14.4 Interim ReliefNothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction pending the constitution or conclusion of the arbitration.
14.5 Court JurisdictionFor matters not subject to arbitration, or for the enforcement of an arbitral award, the parties submit to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.
14.6 Consumer Rights PreservedNothing in this arbitration clause limits your right to file a complaint with the Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019. The statutory limitation period for filing a complaint under the Consumer Protection Act shall not be affected by any negotiation or arbitration proceedings initiated under this clause.

Payment Services & Regulatory Status

15.1 P2P Discovery Flow: FOMO Is Not a Payment AggregatorWith respect to P2P resale listings where buyers and sellers transact entirely off platform: FOMO is not a Payment Aggregator (PA) or Payment Service Provider (PSP) as defined under the Reserve Bank of India’s Guidelines on Regulation of Payment Aggregators and Payment Gateways (March 2020, as amended). FOMO does not collect, hold, process, settle, or disburse any payments between buyers and sellers in the P2P discovery flow. FOMO has no access to, control over, or responsibility for any funds exchanged between P2P users.
15.2 P2P Discovery Flow: No Escrow or Nodal AccountFOMO does not operate any escrow account, nodal account, or payment wallet for the purpose of holding P2P user funds. Users in the P2P flow are solely responsible for managing their own payment security and for verifying the legitimacy of the counterparty before transferring any funds.
15.3 FOMO Ticket Flow: Payment Collection StructureFor FOMO Ticket transactions, FOMO collects payment from customers via Razorpay or another licensed payment processor. FOMO operates as a merchant on the payment processor’s platform and acts as a customer-facing booking facilitation, payment collection, and fulfilment coordination platform. The underlying ticket value is remitted or settled by FOMO to the relevant partner and is not treated as FOMO’s own taxable turnover to the extent permitted under applicable law. FOMO’s commission, convenience fee, service fee, or booking facilitation fee is FOMO’s own taxable supply to the relevant partner. FOMO is not itself a Payment Aggregator; Razorpay or the applicable payment processor holds the applicable PA licence and processes payment transactions. FOMO, as a merchant using such infrastructure, does not require a separate PA licence for this structure.
15.4 GST RegistrationFOMO Entertainment Private Limited is registered under the Goods and Services Tax Act, with its GST registration in the State of Himachal Pradesh, and holds GSTIN: 02AAGCF8232J1ZQ. FOMO charges GST at the applicable rate on its commission, convenience fee, service fee, or booking facilitation fee for FOMO Ticket transactions, where such amount is invoiced to the relevant partner as described in Section 6.2. FOMO does not raise a GST Tax Invoice to the customer for the underlying ticket value or for FOMO’s fee where the service recipient for GST purposes is the relevant partner.
16

Data Protection & Privacy

16.1 Data Fiduciary StatusFOMO Entertainment Private Limited operates as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (‘DPDP Act’) and applicable rules thereunder. By using the Platform, you acknowledge that FOMO collects and processes your personal data - including name, email address, mobile number, and event preferences - for the purposes of operating the Platform, verifying user identity, enabling buyer-seller connections, processing FOMO Ticket transactions, issuing or processing receipts, booking confirmations, and GST invoices where applicable, communicating service updates, and complying with legal obligations.
16.2 Consent & Purpose LimitationFOMO collects only the personal data reasonably necessary to provide the services described in these Terms. We will not use your personal data for purposes beyond those disclosed without obtaining fresh consent. We do not sell your personal data to third parties. We share personal data with third parties only where required by law, to prevent fraud, to process FOMO Ticket payments (Razorpay), to generate or process receipts, booking confirmations, and GST invoices where applicable, to enable FOMO’s ticket procurement partners to issue tickets for FOMO Ticket bookings, or where strictly necessary to provide the service. By creating an account, you provide your free, informed, specific, and unambiguous consent to the collection and processing of your personal data as described herein and in our Privacy Policy.
16.3 Your Rights as a Data PrincipalUnder the DPDP Act, 2023, you have the right to access a summary of the personal data FOMO holds about you; to correct inaccuracies; to request erasure of your account and associated personal data (subject to legal, tax, fraud-prevention, and dispute-resolution retention obligations); to nominate another individual to exercise your data rights in the event of your death or incapacity; to withdraw consent for non-essential data processing at any time; and to have any grievance relating to FOMO’s processing of your personal data addressed by FOMO’s Grievance Officer. FOMO will acknowledge data grievances within 48 hours and endeavour to resolve them within 30 days. To exercise any of these rights, contact our Grievance Officers at support@fomo-live.com.
16.4 Data Retention & SecurityFOMO retains personal data only for as long as necessary to fulfil the purposes for which it was collected, or as required by applicable law, including tax, regulatory, GST audit, and dispute-resolution obligations. FOMO implements reasonable technical and organizational security measures to protect personal data against unauthorized access, disclosure, alteration, or destruction. In the event of a personal data breach likely to cause harm to users, FOMO will notify the Data Protection Board of India and affected users in accordance with the DPDP Act and applicable rules.
16.5 Email Communications & Marketing ConsentFOMO sends three categories of communications. Category A (Transactional, no opt-out) includes account confirmations, booking confirmations and delivery notifications, receipts and GST invoices where applicable, dispute updates, event alerts you have set, account security notifications, and material changes to these Terms or our Privacy Policy - these are sent based on legitimate use and cannot be suppressed while your account is active. Category B (Platform Updates) covers new features and how-to guidance, with frequency managed via your app notification settings. Category C (Promotional & Marketing, opt-out available) is obtained separately at registration via an opt-in checkbox that is unchecked by default and is not bundled with acceptance of these Terms; you may withdraw consent at any time via the unsubscribe link in any marketing email. We do not sell, share, or license your email address to third parties for their marketing purposes. If your account has been inactive for 12 months, your promotional consent will lapse and must be renewed before FOMO sends further Category C communications.
17

Changes to These Terms

FOMO reserves the right to update or modify these Terms at any time. When we make material changes, we will notify you via in-app notification or email at least 7 days before the changes take effect and will update the ‘Last Updated’ date at the top of these Terms. For changes required by law or regulation, notice may be shorter. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Platform and may delete your account as described in Section 3.3.

Miscellaneous

18.1 Entire AgreementThese Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and FOMO regarding your use of the Platform and supersede all prior agreements, representations, and understandings.
18.2 SeverabilityIf any provision of these Terms is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable. All other provisions will remain in full force and effect.
18.3 WaiverFOMO’s failure to enforce any provision of these Terms at any time shall not constitute a waiver of that provision or of FOMO’s right to enforce it in the future.
18.4 No Partnership or EmploymentNothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between any user and FOMO. In the FOMO Ticket flow, FOMO may have separate internal commercial, procurement, settlement, commission agency, payment collection, or fulfilment arrangements with ticket procurement partners, promoters, authorised suppliers, primary ticketing platforms, or fulfilment partners. Such arrangements do not create any partnership, employment, joint venture, or direct contractual relationship between any user and such partner, except where expressly required or disclosed for event-specific fulfilment.
18.5 AssignmentFOMO may assign or transfer its rights and obligations under these Terms to any affiliated entity or successor in the event of a merger, acquisition, or restructuring, without your prior consent, provided that the assignee assumes all of FOMO’s obligations to you under these Terms. You may not assign your rights or obligations under these Terms without FOMO’s prior written consent.
18.6 LanguageThese Terms are written in English. In the event of any conflict between the English version and any translation, the English version prevails.
